1. Agreement to Terms

By accessing or using the website located at createnano.com (the "Site") or any services provided by Createnano LLC ("Createnano", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, please do not use our Site or services. These Terms apply to all visitors, users, and others who access or use the Site.

2. Description of Services

Createnano LLC is an artificial intelligence technology company registered in New Mexico, USA. We provide:

• Custom AI model development (CNN, RNN, LLM, and hybrid architectures)
• AI-powered SaaS product design and development
• Automation software for enterprises and individuals
• MLOps infrastructure, deployment, and ongoing model management
• AI consulting and research services

3. Use of the Website

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Site in any way that violates applicable federal, state, local, or international law or regulation
• Transmit any unsolicited or unauthorized advertising or promotional material
• Attempt to gain unauthorized access to any part of the Site or its related systems or networks
• Reverse engineer, decompile, or disassemble any software on the Site
• Use automated tools to scrape, crawl, or extract data from the Site without written permission
• Introduce viruses, malware, or other harmful code
• Impersonate any person or entity or misrepresent your affiliation with any person or entity

4. Intellectual Property

All content on this Site — including but not limited to text, graphics, logos, code, product names, and AI model architectures — is the exclusive property of Createnano LLC and is protected by United States and international copyright, trademark, and intellectual property laws.

You may not reproduce, distribute, modify, create derivative works from, or commercially exploit any content from this Site without our express written permission.

5. Client Engagements

Any AI development, software, or consulting services rendered by Createnano LLC to a client are governed by a separate written agreement (Statement of Work or Master Services Agreement). These Terms of Service govern only the use of the public website and do not constitute a service contract.

6. DMCA — Copyright Infringement

Createnano LLC respects intellectual property rights and expects users to do the same. If you believe that content on the Site infringes your copyright, please send a written notice to us at hello@createnano.com containing:

• Your physical or electronic signature
• Identification of the copyrighted work you believe has been infringed
• Identification of the allegedly infringing material and its location on the Site
• Your contact information (address, phone, email)
• A statement that you have a good-faith belief the use is not authorized by the copyright owner
• A statement under penalty of perjury that the information is accurate and you are the copyright owner or authorized agent

7. Export Control

The Site and any software, technology, or services provided by Createnano LLC may be subject to U.S. export control laws and regulations, including the Export Administration Regulations (EAR), 15 C.F.R. Parts 730–774, and the International Traffic in Arms Regulations (ITAR), 22 C.F.R. Parts 120–130, as well as applicable economic sanctions administered by the U.S. Office of Foreign Assets Control (OFAC).

You agree not to export, re-export, or transfer, directly or indirectly, any Createnano technology, software, or services in violation of applicable U.S. export laws. By using the Site, you represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to a U.S. government embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.

8. Disclaimer of Warranties

THE SITE AND ITS CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. CREATENANO LLC DISCLAIMS ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CREATENANO LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you for any claims arising from these Terms or your use of the Site shall not exceed $100 USD. Some jurisdictions do not allow exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless Createnano LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in connection with your violation of these Terms or your use of the Site.

11. Third-Party Links

The Site may contain links to third-party websites. These links are provided for your convenience only. Createnano LLC has no control over the content of those sites and accepts no responsibility for them or for any loss or damage that may arise from your use of them.

12. Force Majeure

Createnano LLC shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, government action, labor disputes, internet service interruptions, or cyberattacks.

13. Privacy

Your use of the Site is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of New Mexico, USA, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Bernalillo County, New Mexico, under the rules of the American Arbitration Association (AAA), conducted before a single arbitrator.

Arbitration Opt-Out: You may opt out of arbitration by emailing hello@createnano.com with the subject line "Arbitration Opt-Out" within 30 days of first agreeing to these Terms. If you opt out, disputes shall be resolved exclusively in the state or federal courts located in Bernalillo County, New Mexico.

15. Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CREATENANO LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

16. No Waiver

No failure or delay by Createnano LLC in exercising any right, power, or remedy under these Terms shall operate as a waiver of such right, power, or remedy. A waiver of any breach shall not be deemed a waiver of any subsequent breach of the same or any other provision.

17. Severability

If any provision of these Terms is found by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Createnano LLC regarding your use of the Site and supersede all prior and contemporaneous agreements, representations, and understandings. Any separate service agreements (SOW, MSA) signed with Createnano LLC shall govern the specific engagement and prevail over these Terms to the extent of any conflict.

19. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site after any changes constitutes your acceptance of the new Terms. We encourage you to review these Terms periodically.
